Acceptance of Terms

These Terms & Conditions ("Terms") govern your access to and use of Podvector and its associated services, including the Victor AI assistant and integrations with Shopify, Meta Ads, Google Ads, Printify, and Printful. By creating an account or using the service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the service.

Eligibility

  • You must be at least 18 years old to use Podvector.
  • You must have the authority to bind any business on whose behalf you connect accounts (for example, a Shopify store you administer).
  • You agree to provide accurate, current, and complete information when registering and to keep that information updated.

Description of Services

Podvector provides:

  • Analytics, dashboards, and reporting derived from data you grant us access to via connected platforms.
  • Victor, an AI assistant that interprets your data, answers questions, and may propose changes to your connected stores (such as price updates, discounts, and collection changes) for your review.

AI-Assisted Actions and Your Approval

  • Nothing runs without your approval. When Victor identifies a potential change to your connected store, it surfaces a proposal in the chat interface. The proposal is not executed against your store until you explicitly approve it.
  • You are responsible for what you approve. Approving a proposal authorizes Podvector to execute the described action on your connected account on your behalf, using the OAuth permissions you have granted. You are solely responsible for the consequences of actions you approve, including effects on your sales, inventory, customers, advertising, or fulfillment.
  • AI proposals may contain errors. Victor relies on third-party large language models, which can produce inaccurate, incomplete, or unsuitable suggestions. You agree to review each proposal carefully before approving and to use your independent judgment.
  • No advice. Information and proposals provided by Victor are for operational convenience only and do not constitute financial, legal, tax, or professional advice.
  • Audit log. We log every proposal, approval, decline, and execution outcome as described in the Privacy Policy. This log exists for safety, support, and product improvement.

Your Account and Credentials

  • You are responsible for safeguarding your account credentials.
  • You are responsible for all activity that occurs under your account, including actions Victor proposes that you approve.
  • Notify us promptly if you suspect unauthorized access to your account.

Your Content and License

  • You retain all rights in the data you connect to Podvector and the messages you send to Victor ("Your Content").
  • You grant Podvector a limited, non-exclusive, worldwide license to host, copy, process, transmit, and display Your Content solely as needed to operate the service for you, including sending relevant portions to the AI sub-processors identified in our Privacy Policy.
  • We do not provide Your Content to third-party AI providers for training their general models. We may use anonymized or aggregated information about service usage and feature performance to improve Podvector.

Acceptable Use

You agree not to:

  • Use the service for any unlawful, harmful, fraudulent, or deceptive purpose.
  • Attempt to gain unauthorized access to the platform, any other user's account, or any connected service.
  • Reverse engineer, scrape, or interfere with the operation or security of the service, except as expressly permitted by law.
  • Use the service to send spam, malware, or content that infringes third-party rights.
  • Use Victor to take actions on stores or accounts you do not have lawful authority to administer.

Third-Party Integrations

When you connect Shopify, Meta, Google, Printify, Printful, or any other third-party service, your use of that service is governed by that provider's own terms and privacy practices. Podvector is not responsible for the availability, accuracy, or behavior of third-party services. You may disconnect any integration from your account settings at any time.

Subscription, Billing & Cancellation

  • Paid plans are billed in advance through our payments processor (Stripe) on a recurring basis. By subscribing you authorize us to charge your selected payment method for the applicable subscription fees and any taxes.
  • Unless otherwise stated at purchase, subscriptions automatically renew at the end of each billing period until cancelled.
  • You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the then-current billing period; you retain access until that period ends.
  • Except where required by law, fees already paid are non-refundable.
  • We may change pricing for renewal periods with reasonable advance notice. Continued use after a price change takes effect constitutes acceptance of the new pricing.

Service Availability

We work to keep Podvector available and reliable, but we do not guarantee uninterrupted access. The service may be unavailable for maintenance, upgrades, or causes outside our control, including disruptions to third-party services we depend on.

Termination

  • You may stop using the service at any time and may close your account by disconnecting your integrations and contacting support, or via account settings where available.
  • We may suspend or terminate your access if you violate these Terms, if your use creates risk to Podvector, other users, or third parties, or if required by law. Where reasonable, we will give you notice and an opportunity to cure.
  • Upon termination, the rights granted to you under these Terms cease, and we will handle your data as described in the Privacy Policy.

Disclaimer of Warranties

The service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy of data, or that AI-generated proposals will be correct, suitable, or successful.

Limitation of Liability

To the fullest extent permitted by law, Podvector and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, business opportunities, or goodwill arising out of or related to your use of the service, including any actions you approve through Victor or any errors in AI-generated content. Our aggregate liability for all claims arising out of or relating to the service will not exceed the greater of (a) the amounts you paid us for the service in the twelve months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (US$100).

Indemnification

You agree to defend, indemnify, and hold harmless Podvector and its affiliates from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from (a) your use of the service, (b) your violation of these Terms, (c) Your Content, or (d) any action you approve through Victor that affects your connected accounts or third parties.

Changes to Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where required, notify you through the service or by email. Your continued use of Podvector after the change takes effect constitutes acceptance of the updated Terms.
